Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Hoovli, a booking, deposits, and payouts platform operated by Hoovli, LLC (“Hoovli,” “we,” “us,” or “our”). Please read them carefully. By using Hoovli you agree to be bound by them.

1. Acceptance of these terms

By creating an account, signing in, or otherwise using Hoovli, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service. If you use Hoovli on behalf of a business, you represent that you are authorized to accept these Terms for that business.

2. The service

Hoovli provides software and payment tools for independent solo service professionals in the United States. Providers get a public booking page on a subdomain, take deposits, manage a schedule, send text and email reminders, offer house calls with an automatic travel fee, collect reviews after completed visits, and receive payouts to their bank.

Hoovli is the software and payments platform. We do not provide the underlying services that providers book and deliver through Hoovli, and we are not a party to the agreement between a provider and their client. Providers are independent of Hoovli and are not our employees, agents, or partners.

3. Provider accounts and eligibility

To offer services on Hoovli you must create a provider account, be at least 18 years old, and be legally able to enter into these Terms. One account maps to one business. You are responsible for all activity under your account, for keeping your contact and business details accurate, and for keeping your sign-in credentials secure. Notify us promptly if you believe your account has been used without your permission.

You are responsible for the accuracy of your services, prices, availability, and policies, for delivering the services you book, and for complying with the laws, taxes, and licensing that apply to your trade and location.

4. Subscriptions and billing

Hoovli is a flat subscription of $20.00 per month per provider. New providers receive a free first month; we do not charge the subscription during that first month, and you can cancel before it ends at no cost. After the free month, the subscription renews automatically each month until you cancel.

You can cancel anytime from your dashboard. Cancellation takes effect at the end of the current billing period, and you keep access until then. Subscription fees already paid are not refundable except where required by law. If a subscription payment fails, we may retry the charge and may limit or suspend booking features until the balance is resolved.

5. The booking fee and no commission

Hoovli does not take a commission on your service prices. You keep 100% of what you charge for your services.

At checkout, the client pays a platform booking fee of 5% of the amount collected, with a flat $1.00 minimum. This fee is a payment-method-agnostic platform service fee that covers payment processing. It is not a card surcharge, it is shown to the client up front, and it is non-refundable in all scenarios.

6. Deposits, cancellations, and refunds

Each provider sets a deposit percentage per service (20% by default). The client pays the deposit to book, and it counts toward their total. The remaining balance is collected in person or online, at the provider's discretion.

Cancellations and refunds are handled according to each provider's policy. Each provider sets a cancellation window. A client who cancels within the window is refunded their deposit; a client who cancels late or does not show forfeits the deposit to the provider. A provider can cancel a booking and refund the client's deposit at any time. The booking fee is never refunded, regardless of who cancels or why.

7. Payments and payouts

Payments and payouts are processed by Stripe. To accept payments, providers complete Stripe onboarding and agree to the Stripe Connected Account Agreement and Stripe's terms, which apply in addition to these Terms. Deposits are collected at booking and, on completion of the appointment, the provider's share is transferred to the provider and paid out to their bank on a weekly schedule. Providers may instead choose an instant cash-out to an eligible debit card, which may carry a processor fee.

All amounts are handled in U.S. dollars. You are responsible for any taxes owed on your earnings. Money operations are recorded and reconcilable; where a dispute or chargeback occurs, the amount and any associated fees may be deducted from your balance or future payouts.

8. Acceptable use

You agree not to use Hoovli to break the law, to harass or endanger anyone, to circumvent or manipulate payments, to post false or misleading listings, to infringe others' rights, to interfere with or attempt to gain unauthorized access to the platform, or to misuse client data. House-call addresses and other client contact details are safety-sensitive; you may use them only to deliver the booked service and must handle them lawfully and with care. We may investigate, and may suspend or terminate accounts that break these rules.

9. Content and reviews

You retain ownership of the content you upload, such as your business name, photos, service descriptions, and prices. You grant Hoovli a non-exclusive, worldwide, royalty-free license to host, display, and use that content as needed to operate and promote the service. You are responsible for having the rights to any content you upload.

Reviews are one-way: only a verified client may review a completed appointment, and providers do not rate clients. Reviews must be honest and lawful. We may remove content or reviews that are abusive, fraudulent, unlawful, or in breach of these Terms.

10. Third-party services

Hoovli relies on trusted third-party providers to operate. Payments and payouts are handled by Stripe; text messages are sent through Telnyx from a verified toll-free number; email is delivered through Postmark; and address validation and distance for house calls use Radar. Your use of Hoovli may be subject to those providers' terms, and we are not responsible for their services. We may add or change service providers over time.

11. Disclaimers

Hoovli is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, and we are not responsible for the acts or omissions of providers or clients, or for the quality, safety, or legality of the services booked through Hoovli.

12. Limitation of liability

To the fullest extent permitted by law, Hoovli and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or related to your use of the service. Our total liability for any claim arising out of or related to these Terms or the service is limited to the greater of the subscription fees you paid us in the three months before the claim, or one hundred U.S. dollars ($100.00). Some jurisdictions do not allow certain of these limitations, so some may not apply to you.

13. Termination

You may stop using Hoovli and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, if required by law or by one of our service providers, or to protect the platform, its users, or the public. On termination, your right to use the service ends. Provisions that by their nature should survive, including payment obligations, disclaimers, and limitations of liability, will survive termination. We will complete payouts owed to you for completed appointments in the ordinary course, subject to our service providers' processes.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will post the updated version here with a new date. If a change is material, we will make reasonable efforts to notify you. Your continued use of Hoovli after a change takes effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the United States and of the state in which Hoovli, LLC is organized, without regard to conflict-of-laws rules. You agree that any dispute arising out of or related to these Terms or the service will be subject to the exclusive jurisdiction of the state and federal courts located there, unless applicable law requires otherwise.
